Buying a shop, office or factory space? Know the numbers first

Work out the stamp duty, GST, loan, cash needed and payment dates for an individual or company buyer, plus the rental yield or how owning compares with renting. There is no ABSD here, but CPF cannot be used, so the cash plan matters.

    Rules used in these numbers

Stamp duty: BSD yes, ABSD no

Buyer's Stamp Duty on non-residential property, on the price or market value, whichever is higher. Due within 14 days of exercising the option or signing the S&P.

    First $180,0001%
    Next $180,0002%
    Next $640,0003%
    Next $500,0004%
    Above $1,500,0005%

No Additional Buyer's Stamp Duty on shops, offices or industrial property, for individuals or companies, however many homes you own. A shophouse with a home upstairs is different: the home part attracts residential stamp duty and ABSD. That case is not worked out here.

    GST on the price

GST of 9% is added when the seller is GST-registered. Developers always charge it, so New Launch prices carry GST. Many individual resale sellers are not registered, so there is none. Banks lend on the price, not the GST, so GST is paid in cash. A GST-registered company using the unit for its business can usually claim it back later.

    Bank loan, TDSR and CPF
    • MAS loan limits (75% and so on) are for homes. For commercial and industrial property the bank sets the loan, usually up to 80%. Older or shorter leases may get less.
    • Individuals: the 55% Total Debt Servicing Ratio applies, tested at 5% a year or the actual rate if higher (MAS, from 30 Sep 2022).
    • Companies: no TDSR. The bank looks at the company's accounts and usually asks the directors for a personal guarantee.
    • Loan years: up to 30, and usually ending by around age 65 for individuals. For leasehold we also end the loan 5 years before the lease ends. Banks differ, so check.
    • CPF cannot be used to buy commercial or industrial property.
    Seller's Stamp Duty: industrial only

Industrial property sold within 3 years pays Seller's Stamp Duty: 15% within 1 year, 10% in year 2, 5% in year 3. Shops and offices have none.

How the unit may be used
    • B1 and B2 industrial units: at least 60% of the floor area for industrial use, at most 40% for ancillary use such as office (URA). Tenants must be industrial users too.
    • JTC property: buying or taking over a JTC lease needs JTC's approval, and you must be an approved industrial user. Subletting to an unrelated business is capped at 30% of the floor area, needs JTC approval, and lasts up to 3 years at a time.
    • Shops and offices: the use must match URA's approved use for the unit (for example, F&B needs approval for F&B).
    Property tax and rent
    • Property tax is 10% of the Annual Value for all non-residential property, whether you use it or rent it out. We estimate Annual Value as 12 months of the rent you entered.
    • A GST-registered landlord adds 9% GST to the rent. Rent is taxable income: at personal rates for individuals, 17% corporate tax for companies.
Sources: IRAS stamp duty (IRAS's site is blocked from our tools, so rates were cross-checked with PwC tax summaries and Yuen Law) · MAS/MND TDSR test rates · URA B1 use quantum · JTC subletting Not covered: shophouses with a home upstairs, en bloc and land purchases, JTC land rent and upfront premiums, deferred payment schemes, bank fees and lock-in penalties, and income tax on rent.
